trouble shifting out of pto

I recently aquired a 245 w/ ind. pto, it won't shift out of pto without turning off tractor and pto not turning, (that is to say gears are grinding so bad I do it this way instead of trying to force it) thoughts? Also, I have been told these tractors might have live pto instead of independent, but doesn't live pto mean the shaft turns unless clutch is pressed? Mine won't turn unless lever is shifted on.
